JOB SUMMARY
Provide administrative, paralegal, and organizational support to members of the Legal, Executive team, and other departments, as needed.
SUMMARY OF ESSENTIAL JOB FUNCTIONS
- Assist with managing and maintaining organizational structure chart for all entities
- Organize and manage closings of mergers and acquisitions and major transactions
- Draft and file corporate formations, conversions, dissolutions, and reorganizational documents of corporations, partnerships, and limited liability companies with various states
- Draft partnership and limited liability company agreements, regulations, and by-laws
- Preparation and assistance with regulatory filings, business licenses, and reports for various states and federal agencies
- Draft routine correspondence, litigation holds, contract terminations, response to customer complaints, and discovery requests
- Establish and maintain legal files pursuant to a record retention policy
- Resolve and respond to routine legal issues, accounting, and other business entity requests
- Liaison and maintain a list of all outside counsel and engagement letters
- Manage and work on various corporate and other special projects
MINIMUM REQUIREMENTS
- Associated Applied Science or accredited Paralegal Certificate with 2-7 years of paralegal experience in a legal office or related field with a similar combination of training and experience
- Real Estate experience preferred
- Excellent written and oral communication skills
- Ability to understand and easily grasp complex situations
- Self-starter able to work independently and work in a team environment
- Strong interpersonal and organizational skills and ability to prioritize
- Must be adaptable to a fast-paced and changing environment
- Ability to work effectively under multiple time deadlines with exceptional attention to detail
- Proficiency with Microsoft Word, Excel, and Outlook
- Maintains confidentiality in all matters
- Must be able to work a minimum of 40 hours per week
ABILITIES REQUIRED
- Ability to meet the highest attendance requirements
- Ability to handle multiple tasks concurrently
- Ability to use a personal computer, calculator, etc.
- Could involve some lifting up to 20 pounds
- Ability to sit for extended periods of time without much movement
- Ability to work in a time-sensitive environment with non-flexible deadlines
